Terms of Service for NetCompass ApS

These Terms of Service ("Terms") govern your access to and use of NetCompass ApS ("we", "us", "our"). By creating an account or using our platform, you agree to abide these Terms. If you do not agree, you must not use the service.

1. Eligibility

To use NetCompass ApS, you must:

  • be at least 16 years old (or the minimum legal age in your country),
  • have the legal capacity to enter into an agreement, and
  • provide accurate and truthful information when registering.

2. Account Registration

When you create an account, you agree to:

  • provide accurate, current, and complete information,
  • keep your password confidential, and
  • notify us immediately of any unauthorized use of your account.

You are responsible for all activity that occurs under your account.

3. Use of the Service

You may use the service for lawful, professional, and personal networking purposes. You agree not to:

  1. Provide false or misleading information about your identity or qualifications
  2. Upload or share unlawful, harmful, abusive, defamatory, discriminatory, or offensive content
  3. Harass or harm other users
  4. Upload malware, viruses, or conduct actions that may damage or overload the platform
  5. Copy, modify, or reverse engineer any part of the service
  6. Use automated tools (e.g., bots, scrapers) without our written permission.

We may suspend or terminate accounts violating these rules.

4. User-Generated Content

You retain ownership of the content you post on the platform. However, by posting content, you grant us a non-exclusive, worldwide, royalty-free licence to:

  • host, store, display, reproduce, and share your content
  • make it available to other users as intended by the platform's functionality

You confirm that your content does not infringe any third-party rights.

We may remove content that violates these Terms or is otherwise inappropriate.

5. Privacy

Your use of the service is also governed by our Privacy Policy, which explains how we collect, use, and protect your personal data. By using the platform, you consent to the processing described in the Privacy Policy.

6. Messaging and Communication

Users may communicate with each other via private messages, comments, and posts. You may not send spam, unsolicited promotions, or harmful content.

We do not monitor private messages proactively but may access them if required by law or if necessary to investigate violations.

7. Intellectual Property

All content and materials created by us — including design, logos, software, and branding — are protected by copyright and other intellectual property laws.

You may not copy, distribute, or reproduce any part of the platform without our written consent.

8. Termination

We may suspend or terminate your account if:

  • you violate these Terms,
  • your actions pose a risk to other users or the platform, or
  • we discontinue the service.

You may delete your account at any time by sending an e-mail to legal@netcompass.io.

Upon termination, your right to use the service ends immediately.

9. Disclaimers

The service is provided "as is" and "as available", without warranties of any kind, including:

  • availability,
  • accuracy of user profiles or content,
  • uninterrupted access,
  • suitability for your intended purpose.

We do not verify user credentials, background, or the truthfulness of information posted by users.

10. Limitation of Liability

To the fullest extent permitted by law, we are not liable for:

  • indirect, incidental, or consequential damages,
  • loss of data, content, profits, or business opportunities,
  • actions of other users, including content posted by them.

Our maximum liability for any claim related to your use of the service is limited to the amount you have paid us in the past 12 months (if any).

11. Changes to the Terms

We may update these Terms from time to time. If we make significant changes, we will notify you by email or through the platform. Continued use of the service means you accept the updated Terms.

12. Governing Law and Dispute Resolution

These Terms are governed by the laws of Denmark. Any disputes shall be settled by the courts in Copenhagen, unless mandatory law provides otherwise.

13. Paid Subscriptions and Pro Features

13.1 General

NetCompass ApS offers optional paid subscriptions ("Pro") that provide access to additional features, tools, and content not available to free users. By purchasing a Pro subscription, you agree to the terms set out in this section.

13.2 Subscription Periods

Pro services are offered as monthly subscriptions.

The subscription period will be clearly stated at the time of purchase.

13.3 Payment and Renewal

  • Payments are charged in advance for each subscription period.
  • Unless otherwise stated, subscriptions renew automatically until you cancel them.
  • Payments are processed with credit card via Stripe.
  • You are responsible for ensuring that your payment information is up to date.

We may change prices or subscription terms with 30 days' prior notice. If you continue using the Pro service after the change, this constitutes acceptance of the new terms.

13.4 Cancellation of Subscription

You may cancel your subscription at any time through by sending an e-mail to legal@netcompass.oi. The cancellation takes effect at the end of the current subscription period.

  • Payments are generally non-refundable, unless required by law.
  • You retain access to Pro features until the current period ends.

13.5 Right of Withdrawal (if you are located in the EU/EEA)

As a consumer, you normally have a 14-day right of withdrawal for online purchases.

However, for digital content or digital services, you acknowledge that:

  • delivery begins immediately, and
  • the right of withdrawal expires once delivery has begun.

This will be clearly stated during the checkout process.

13.6 Failed Payments

If a payment cannot be processed:

  • we may temporarily suspend your subscription,
  • Pro features may be restricted, and
  • we may attempt the payment again within a limited timeframe.

If payments repeatedly fail, we may cancel the subscription without further notice.

13.7 Changes to Pro Features

We may modify, add, or remove Pro features as part of the ongoing development of the service.

  • Significant changes will be communicated in advance.
  • If a change materially reduces the value of the subscription, you may cancel it with immediate effect and receive a proportional refund for the remaining period (where required by law—for example in the EU).

13.8 Availability and Technical Limitations

We strive for high service availability, but we do not guarantee:

  • uninterrupted access to Pro features,
  • full compatibility with all devices, browsers, or networks.

Interrupted or limited functionality does not entitle you to compensation, unless required by law.

13.9 Use of Pro Features

You may not:

  • share your access with others,
  • resell or transfer Pro features without our written consent.

We may terminate accounts that share access in violation of these terms.
